❖ 01. Description of Services ❖
CodexCon provides a comprehensive ecosystem of digital development and intelligent hardware solutions, categorized as follows:
WEB Services (Systems & Logic): Professional web development, SEO architecture, AI-driven automation, and custom software engineering.
GFX Services (Visual Assets): Comprehensive branding, UI/UX interface design, and high-fidelity graphic production.
MPX Services (Media & Production): Full-scale multimedia production, professional video editing, and motion graphics.
❖ 02. Orders, Refunds, and Cancellations ❖
01. Orders and Payment Processing
Project Initiation: Orders are officially processed and work commences upon the successful receipt of payment and the signing of the CodexCon Client Services Agreement.
Initial Deposits: In specific cases, project processing may begin immediately upon receipt of an initial deposit (down payment). The required amount and schedule for these payments are governed by the specific payment terms outlined in the individual client’s contract.
Payment Terms: All services are subject to the payment milestones and schedules defined at the time of purchase. Failure to fulfill payment terms may result in a temporary suspension of services or development.
02. Web Development and Design Services
Development Phase (The 3-Day Grace Period): Clients may request a refund within the first 3 days of the development period. This window begins immediately following the completion of the Order/Payment process (Section 02.1). After these 3 days, all payments are non-refundable as labor and technical resources are fully committed.
Post-Release Window (The 7-Day Technical Period): Upon the final output or official release of the project, a limited 7-day window applies. Refunds during this time are strictly limited to cases of:
Major Technical Glitches: Errors that significantly impair the website/system functionality.
Fundamental Service Failures: Failure to deliver features explicitly outlined in the initial Agreement.
Finality of Sale: No refund requests will be considered after 7 days have passed from the date of the project's output or release.
Exclusions: Refunds will not be granted for "change of mind" after the 3-day grace period, nor for issues ca
03. AI Chat Support Services (Web Services)
Non-Refundable Policy: Due to the immediate allocation of API resources, computational costs, and the custom engineering required to deploy AI models, no refunds are available for AI Chat Support Services once the order has been processed.
Service Nature: This policy applies to all tiers of AI integration, including but not limited to: custom chatbot training, API configuration, and automated response logic.
Usage & Limitations: Clients acknowledge that AI Chat Support is an evolving technology. Refunds will not be granted based on the "personality" of the AI or subjective output preferences, provided the system is functioning according to the technical specifications.
04. Domain Registrations
Non-Refundable Policy: All domain name registrations, renewals, and transfers are final and non-refundable. Once a domain registration is processed through CodexCon, the purchase is immediately committed to the global registry and cannot be reversed.
Accuracy of Information: It is the client’s responsibility to ensure the domain name is spelled correctly before payment. CodexCon is not liable for errors in domain selection once the registration is complete.
Third-Party Terms: While some domain extensions (TLDs) may have external grace periods, CodexCon does not offer refunds for these services under any circumstances, as these costs are paid directly to third-party providers.
05. Professional Email Services
Non-Refundable Policy: All payments for Professional Email Services—including mailbox setup, storage allocation, and server configuration—are strictly non-refundable.
Third-Party Licensing: Because these services often involve the immediate purchase of licenses from third-party providers, the cost is committed at the moment of processing and cannot be recovered.
Account Responsibility: The client is responsible for managing their account credentials and ensuring their domain remains active. Refunds will not be issued for loss of access due to domain expiration or client-side configuration errors.
06. Email Aliasing Services
Service Nature: Email aliasing is provided as a one-time configuration service.
Non-Refundable Policy: Due to the immediate technical setup and resource allocation required, no refunds will be issued for email aliasing services once the order has been processed.
Scope of Service: This service includes the initial setup and routing of the requested aliases. Any ongoing maintenance or changes to the alias structure after the initial setup may be subject to additional service fees.
07. Graphic Design Services
Non-Refundable Policy: All services rendered under the CodexCon Graphic Design Division are strictly non-refundable. This includes, but is not limited to: Branding, Logo Design, UI/UX Layouts, and High-Fidelity Visual Assets.
Creative Labor: Because graphic design is a service based on creative labor and time allocation, the fees paid represent the work performed and the expertise provided.
Revision Process: To ensure client satisfaction, CodexCon follows a structured revision process as outlined in the Client Services Agreement. Dissatisfaction with creative direction does not qualify for a refund; instead, the client is encouraged to utilize the allotted revision rounds to reach the desired outcome.
Ownership upon Delivery: Intellectual property rights for the final designs are transferred to the client upon full payment, as per the terms of our licensing agreement.
08. Media Production Services
Cancellation Policy: In the event of a project cancellation following the initial deposit (downpayment), all incurred expenses—including but not limited to software licensing, asset purchases, and pre-production labor—are strictly non-refundable.
On-Site Mobilization Clause: Notwithstanding any other refund terms, no refunds will be granted once the CodexCon crew has mobilized (is en route) or has arrived at the event venue. At this stage, the full value of the scheduled on-site service is considered earned due to mobilization costs and labor commitment.
Refund Calculation (Pre-Mobilization): If a cancellation is requested prior to crew mobilization, the refund will be calculated as follows: Refund = [Total Deposit] - [Incurred Expenses] - [20% Administrative Fee]
Finality: Once the media production has reached the "Post-Production" or "Final Rendering" stage, no refunds will be considered.
09. Conditions for Refunds
Refunds will only be issued if CodexCon, at its sole discretion, determines that there was a major glitch or fundamental problem with the services provided.
Sole Discretion: The issuance of any refund is at the sole and absolute discretion of CodexCon. A request for a refund does not guarantee approval.
Qualifying Criteria: Refunds will only be considered if CodexCon determines that a Major Technical Glitch or Fundamental Service Failure has occurred.
Major Technical Glitch: A critical error that prevents the core functionality of the system or service as defined in the initial project scope.
Fundamental Service Failure: A significant deviation from the deliverables explicitly promised in the CodexCon Client Services Agreement.
Investigation Process: Upon receiving a refund request, CodexCon reserves the right to conduct a technical audit to determine the cause of the issue. If the issue is found to be caused by third-party services, client-side interference, or unauthorized modifications to the code/assets, the refund request will be denied.
Exclusions: Subjective dissatisfaction regarding "creative style," "design preference," or "perceived AI personality" (for Chat Support) does not constitute a fundamental problem and is not eligible for a refund.
10. Refund Request Procedure
Formal Submission: All refund requests must be submitted in writing via [email protected]. Requests made through social media, instant messaging, or verbal communication will not be recognized as formal filings.
Strict Adherence to Timelines: To be eligible for review, a request must be submitted within the specific timeframes explicitly defined in the preceding sections of this agreement (e.g., the 3-day grace period for project starts or the 7-day window for post-release glitches).
Automatic Rejection: Any request submitted after the specific deadline applicable to that service will be automatically rejected without further review.
Technical Documentation: For claims involving "Major Glitches," the client must provide detailed evidence (screenshots, error logs, or video reproduction) to facilitate CodexCon’s mandatory technical audit.
Processing Time: Once a formal request and all required documentation are received, CodexCon will review the claim and issue a final decision at its sole discretion.
11. Cancellations of Subscription and Application Services
Approval Requirement: All requests to cancel recurring subscription or application services are subject to review and approval by CodexCon.
Non-Refundable Nature: Cancellation does not entitle the client to a refund of previously paid fees. Services remain active until the end of the current billing cycle.
Data Handover upon Cancellation: Upon cancellation of a website and hosting, CodexCon will provide the client with their website files and source code. Once delivered, CodexCon’s responsibility for maintenance and storage terminates.
Server Deletion & The "Web Active License": * Cancellation of hosting will result in the permanent deletion of the website from CodexCon’s servers.
Voiding Cancellation: There is no way to void or stop a scheduled server deletion except through the purchase/maintenance of a CodexCon Web Active License.
Without this license, the site will be wiped, and the client must purchase a new Web Development Package at current rates to return; "reactivation" of deleted data is not supported.
Transfer Policy: CodexCon does not support hosting transfers from third-party providers to CodexCon servers. We only host websites developed and managed internally.
Early Termination: Clients on long-term contracts may be liable for remaining balances or termination fees as specified in their individual contract.
12. Web Maintenance and Update Policy (One-Time & Monthly Plans)
To protect CodexCon’s service quality and fairness, all Web Maintenance & Update offerings follow the terms below:
A. One-Time Maintenance Requests
Each payment covers one batch of clearly scoped edits only.
Small requests (text/image/link edits) are strictly limited to what is agreed during the order.
Repeated revision attempts, excessive changes, or requesting multiple versions are not included unless explicitly quoted.
Tasks not completed due to unclear instructions or delays from client side will be considered closed after 14 days of inactivity.
B. Monthly Maintenance Plans
Each plan includes a fixed amount of updates per month (3–10+) depending on the plan level. “Unlimited” plans follow a Fair Usage policy.
Clients may submit a maximum of 1–3 request batches per week (based on plan tier).
Monthly quotas do not roll over. Unused update slots are reset every 30 days.
Any task exceeding scope will be paused and a separate quote will be issued.
Bulk dumping of tasks or attempts to treat monthly plans as unlimited full redesign support is strictly prohibited.
Plan Abuse or Excess
CodexCon reserves the right to:
Re-quote excessive or unreasonable requests
Suspend or downgrade a client’s maintenance plan
Refuse services to clients who consistently exceed usage limits or fail to cooperate respectfully
📌These terms are designed to protect CodexCon’s developer resources and ensure fairness for all verified CXC-ID clients. Abuse, excessive requests, or attempts to bypass scope limitations may result in paused tasks, re-quotations, or full service termination.
❖ 03. Intellectual Property ❖
Ownership of Assets: All intellectual property rights associated with the services provided by CodexCon—including but not limited to source code, proprietary algorithms, software architecture, GFX design elements, trademarks, and trade secrets—remain the exclusive property of CodexCon.
Limited Usage License: Upon full payment, clients are granted a limited, non-exclusive, and non-transferable license to use the final deliverables.
Restricted Use: This license is granted solely for the intended purpose as defined in the Client Services Agreement. The client may not:
Resell, redistribute, or sublicense the deliverables to third parties.
Reverse-engineer or attempt to extract the source code of any proprietary CodexCon systems (especially regarding AI Logic, and Web Design Assets & Function Codes).
Pre-existing Material: CodexCon retains all rights to any pre-existing code, tools, or libraries used in the creation of the deliverables.
❖ 04. Privacy and Data Security ❖
Commitment to Privacy: CodexCon is committed to protecting the privacy and security of its clients' data. Client information will only be used for the purpose of providing the agreed-upon services and will not be shared with third parties without explicit consent, except as required by law.
AI & Technical Data Processing: By using AI Chat Support Services, you acknowledge that data may be processed to provide high-accuracy results. CodexCon does not sell your data to third-party advertisers.
Security Standards: We implement industry-standard security measures—including encryption and secure server protocols—to safeguard your data against unauthorized access, alteration, or disclosure.
Internet Liability: While we utilize robust defenses, please be aware that no method of transmission over the internet or electronic storage is completely secure; therefore, we cannot guarantee absolute security.
Policy Acceptance: By using our services, you acknowledge and agree to the terms outlined in this Privacy and Data Security policy.
Policy Updates: We may update this policy from time to time to reflect changes in technology or law. Any significant changes will be communicated to you promptly.

❖ 05. Limitation of Liability ❖
General Limitation: To the fullest extent allowed by law, CodexCon, its developers, and its crew will not be held responsible for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to: loss of profits, revenue, data, business opportunities, or reputation arising from or in connection with the use of our services.
Service Interruptions: CodexCon is not liable for any losses caused by third-party server outages (e.g., Google, Microsoft, AWS), API failures for AI Chat Support, or internet connectivity issues beyond our immediate control.
Maximum Liability Cap: In no event shall the total collective liability of CodexCon to the client—for all damages, losses, and causes of action—exceed the actual amount paid by the client to CodexCon for the specific service that gave rise to the claim.
Client Responsibility: The client is responsible for the final review and approval of all content and deliverables. Once a project is released, the client assumes all risks associated with its commercial use.
❖ 06. Governing Law and Dispute Resolution ❖
Governing Law: These Terms of Service and all agreements with CodexCon shall be governed by, interpreted, and enforced in accordance with the laws of the Republic of the Philippines.
Exclusive Jurisdiction: Any legal action, suit, or proceeding arising out of or related to these Terms of Service shall be instituted exclusively in the proper courts of the Philippines. Both parties hereby waive any objection to this venue.
Amicable Settlement: Before pursuing legal action, both the Client and CodexCon agree to attempt to resolve any dispute through good-faith negotiations or informal mediation for a period of at least 30 days.
Attorney’s Fees: In the event of litigation to enforce the terms of this agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and legal costs.
❖ 07. Amendments ❖
Right to Modify: CodexCon reserves the right to modify, update, or amend these Terms of Service at any time.
Effective Date: Any changes or modifications will take effect immediately upon being posted on the official CodexCon website or platform.
Notice of Changes: While CodexCon may not provide individual prior notice for minor adjustments, significant changes that affect client rights may be communicated via the email address on file or a platform announcement.
Implied Acceptance: The client’s continued use of CodexCon’s services, and hosting after such changes are posted constitutes an explicit acceptance of the revised Terms of Service. It is the client's responsibility to review these terms periodically.
❖ 08. Abuse of Loopholes and Integrity ❖
Anti-Exploitation Agreement: Clients agree not to exploit any perceived loopholes, technical bugs, or ambiguities within these Terms of Service or CodexCon's digital systems for personal gain, financial avoidance, or to bypass the intended purpose of the agreement.
Interpretation of Intent: In cases where terms may be perceived as ambiguous, the interpretation shall be made by CodexCon in a manner that aligns with the original business intent and the spirit of the service agreement.
Enforcement & Termination: CodexCon reserves the right to take immediate action against any party found in violation of this clause. This includes, but is not limited to:
Immediate termination of all active services and licenses (including all proprietary CodexCon software access.).
Permanent banning from the CodexCon ecosystem.
Legal recourse to recover damages or lost revenue.
Reporting: Clients who discover technical vulnerabilities or ambiguities are encouraged to report them to CodexCon support. Attempting to exploit a discovered vulnerability rather than reporting it will be considered a breach of this contract.
❖ 09. CXC-ID and Client Status ❖
At CodexCon, we uphold a high standard of service through client exclusivity. We do not entertain general inquiries or high-volume, low-quality requests. We operate as a private network, working only with verified, chosen clients who align with our vision, professionalism, and high-tech processes.
09.1 Chosen Client Policy: CodexCon reserves the right to selectively partner only with individuals or entities that pass our internal Client Evaluation Process.
09.2 Entry Requirement (The First Transaction): Eligibility for the CodexCon ecosystem requires the successful completion of an initial paid project (e.g., Web Package, GFX Branding, or Logic Integration). This "Entry Project" serves as a trial phase for both parties.
09.3 CXC-ID Issuance: Upon successful completion of the first transaction, the client will be issued a unique CXC-ID-####. This identifier is the client’s official credentials within CodexCon and is mandatory for all future project requests, support tickets, and service access.
09.4 Privileges of Status: Holders of a valid CXC-ID are granted exclusive access to:
Personalized History Tracking: Automated logs of all previous project logic and assets.
Tiered Support: Priority response times and dedicated revision queues.
09.5 CXC-Client-Score System: To maintain a healthy partnership, CodexCon maintains a private CXC-Client-Score for every ID holder. This score is calculated based on:
Cooperation and communication clarity.
Adherence to payment schedules.
Respect for the "Rules of Three" and other ToS guidelines.
High-scoring clients receive priority scheduling and exclusive promotional rates.
09.6 Right of Refusal: CodexCon reserves the absolute right to decline service to any individual without a valid CXC-ID, or to revoke a CXC-ID if a client's score falls below our professional threshold.

This data is used solely to improve performance, security, and the overall user experience of our web solutions.
Service-Related Data: We collect data generated through your engagement with our ecosystem. This includes customer support logs, service feedback, project-specific briefs, and communication history. This information is used to maintain your CXC-Client-Score and ensure that our future offerings are tailored to your business needs.
Future-Proofing: CodexCon reserves the right to collect additional data points as required by new service launches or technological advancements, provided such collection is necessary for service delivery and disclosed within this policy.

We utilize the information collected within the CodexCon ecosystem for the following operational purposes:
Service Delivery and Execution: To fulfill the specific requirements of your requested projects, including website design, complex development, graphic design, and the deployment of any future technological services added to the CodexCon portfolio.
Strategic Communication: To maintain a professional line of contact regarding your project milestones, technical updates, service progress, and critical announcements. This includes the delivery of official notices related to your CXC-ID status and account security.
Infrastructure Improvement: To perform data analysis on website usage and service feedback. This allows us to enhance our internal systems, optimize server performance, and refine the user experience for both our current suite and upcoming service innovations.
Client Status Management: To maintain your CXC-Client-Score and service history. This data usage ensures that verified clients with a valid CXC-ID receive the priority support, exclusive access, and tailored solutions promised within our exclusivity framework.
❖ 03. Confidential Processing and Verification ❖
Non-Disclosure Guarantee: CodexCon treats all client data, project briefs, and proprietary business information as strictly confidential. We will not sell, trade, or disclose your information to third parties unless required by Philippine Law or with your explicit, written consent.
Security Verification Protocol: To maintain the integrity of our services and protect your digital assets, CodexCon may occasionally require ID Verification.
We may request a valid government-issued ID or specific account credentials to confirm that the requester is the rightful owner of the website or service.
This process is mandatory for high-security requests, such as server access changes, password resets, or sensitive data transfers, to prevent unauthorized access or fraudulent takeovers.
Internal Handling: Your credentials and personal identifiers are handled through secure internal channels and are used solely for the purpose of authentication and project execution. Once verification is complete, sensitive temporary credentials should be updated by the client for continued security.
❖ 04. Data Security and Infrastructure ❖
Proactive Protection: CodexCon employs industry-standard security protocols, including encryption and secure access controls, to safeguard your personal information and project data from unauthorized access, disclosure, alteration, or destruction.
Internet Disclaimer: While we take rigorous precautions to protect your digital assets, you acknowledge that no method of transmission over the internet or electronic storage is 100% secure. Consequently, while we strive to use commercially acceptable means to protect your data, CodexCon cannot guarantee its absolute security.
